1) Scope of Services

Caliaymee, LLC provides Organic Intelligence Life Coaching and related offerings, including: digital content and newsletters; digital courses (live or recorded); PDF guides and workbooks; memberships/subscriptions; an evolving knowledge base; digital & live 1:1 coaching; group events, workshops, retreats; public speaking; podcasts; books; and original artwork.

Important Disclaimers: Coaching is not therapy, medical care, psychiatric treatment, legal advice, or financial advice. No outcomes are guaranteed. You remain fully responsible for your health, decisions, and results. If you are in crisis or need medical/mental-health care, call your local emergency number or seek licensed professional support.

2) Coaching Agreement (applies when you purchase coaching)

2.1 Sessions & Scheduling

• Standard sessions are 60 minutes, bi-weekly, and scheduled in advance by mutual agreement.
• If you arrive late, sessions end at the scheduled time.
• Optional add-ons (extra sessions, focused check-ins, daily messages) may be purchased separately.

2.2 Rescheduling, Missed Sessions & Expiration

• Rescheduling is allowed only for true emergencies with prior notice. Missed sessions without notice are forfeited.
• Prepaid session packages must be used within 90 days of purchase unless otherwise stated in writing.

2.3 Program Transfers/Credits

• No cross-program credits or transfers. Payments for one program do not apply to any other program, product, or package.

2.4 Tools & Resources

• You may receive personalized tools, video modules, prompts, and journals. These are licensed for your personal use only (non-transferable).

2.5 Confidentiality (Coaching)

• Coaching conversations are treated as confidential except where disclosure is required by law (e.g., court order) or necessary to prevent harm to you or others.

3) Payments, Subscriptions, Refunds & Chargebacks

3.1 Payment Models

• One-Time Purchases: Due in full at checkout (e.g., coaching packages, courses, events, art, books).
• Subscriptions/Memberships: Billed monthly/quarterly/annually as shown at signup; access continues through the current paid term.
• Accepted Methods: Credit/debit cards, bank transfers, and supported digital payment platforms. No cash or checks.

3.2 No Refunds

• All sales are final. Due to the nature of digital products, services, scheduling, and original art, refunds are not offered.

3.3 Chargebacks

• You agree to contact us to resolve billing issues before initiating any chargeback.
• Initiating a chargeback for properly delivered goods/services is a material breach; we may suspend access and contest the chargeback.

3.4 Taxes & Price Changes

• Prices and offerings may change at any time. Taxes, if applicable, are your responsibility and shown at checkout.

4) Confidentiality & Intellectual Property

• We protect your information as described in the Privacy section below and in coaching confidentiality above.
• All content (audio, video, PDFs, images, courses, posts, art, trademarks) is the intellectual property of Caliaymee, LLC.
• You receive a personal, non-exclusive, non-transferable license for your own use. No copying, sharing, posting, reselling, or derivative works without written permission.
• We may pursue legal remedies (including damages and attorney fees) for infringement. For DMCA notices, email amy@caliaymee.com.

5) Client Responsibilities

• Coaching requires active participation, honesty, and consistent practice.
• Results depend on your effort; no results are guaranteed.
• You agree to provide accurate information and keep contact/payment details current.

6) Shop, Shipping & Replacement Policy (Books & Original Art)

• Print-on-demand books ship to U.S. addresses within ~7–10 business days (estimate). Shipping may be included in price unless otherwise stated.
• Original artwork may require custom packing, insurance, and additional handling fees agreed in writing before fulfillment. Local delivery may be arranged by mutual written agreement.
• Final sale: Due to custom and print-on-demand nature, all sales are final. If an item arrives damaged or incorrect, email amy@caliaymee.com within 7 days of delivery with photos. We’ll repair, replace, or coordinate a solution in good faith.

7) Limitation of Liability & Indemnification

• To the fullest extent allowed by law, Caliaymee, LLC is not liable for indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or use.
• You agree to indemnify and hold harmless Caliaymee, LLC from claims arising from your use of services/products, breach of these terms, or violation of law.
• If a dispute proceeds and Caliaymee, LLC prevails, you may be responsible for reasonable attorney fees and costs as permitted by law.

8) Termination

• You may terminate future participation by written notice (email is fine). No refunds will be issued for amounts already paid.
• We may terminate immediately for abusive/fraudulent behavior, IP violations, or material breach (including improper chargebacks). Access may be disabled upon termination.

9) Dispute Resolution & Governing Law

• Mediation first: Before filing a lawsuit, both parties agree to attempt good-faith mediation with a neutral third-party mediator in California.
• Jurisdiction: These terms are governed by California law, and exclusive venue lies in state or federal courts located in California, except that either party may seek injunctive relief for IP misuse in any competent court.
• Nothing prevents either party from filing in small-claims court where available.

10) Privacy Policy (Summary)

We respect your privacy. When you purchase, we collect your name, email, and shipping address. Payments are processed securely by third-party processors (e.g., Stripe); we do not store full card details.

• We use your data to fulfill orders, deliver services, and send updates with your permission. We don’t sell your personal data.
• You can unsubscribe from marketing emails at any time via the link in those emails.

11) Accessibility

12) Other Legal Stuff

• Age: Services are intended for individuals 18+ unless a parent/guardian consents in writing.
• Testimonials: Individual experiences vary; testimonials don’t guarantee results.
• Force Majeure: We aren’t liable for delays or failures caused by events beyond our reasonable control (e.g., internet/platform outages, illness, natural events).
• Changes to Terms: We may update these terms; the “Effective” date above will reflect the latest version. Continued use or new purchases after changes constitutes acceptance.
• Severability: If any provision is unenforceable, the rest still applies.
• Entire Agreement: These terms constitute the entire agreement for purchases unless a separate signed agreement states otherwise.
• Electronic Communications: You consent to receive notices electronically (email or site display). Your electronic purchase serves as your digital signature.

13) Consent & Contact

By completing a purchase through this site or Stripe, you confirm you have read, understood, and agree to these Master Terms, including the Coaching Agreement (if applicable), the no-refund policy, and the chargeback terms.
